Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "Customer") and Deltabridge Group Ltd. ("Deltabridge", "we", "us", or "our"), governing your access to and use of the Deltabridge platform (app.deltabridge.io), the Deltabridge website (deltabridge.io), APIs, and all related services (collectively, the "Services").
By creating an account, accessing the Services, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Services.
2. Definitions
"Athena" means the AI-powered intelligence agent within the Deltabridge platform that produces analytical outputs using tool-use orchestration and AI models.
"Brief" means an AI-generated intelligence product that aggregates and synthesises information from multiple sources about a specific threat, campaign, or vulnerability.
"Community Tier" means the free, non-commercial access tier provided by request.
"Business Tier" means the paid subscription tier at the published monthly or annual rate.
"Enterprise Tier" means a custom-scoped subscription with individually negotiated terms.
"Intel Graph" means the proprietary STIX 2.1 knowledge graph maintained by Deltabridge.
"Organisation Profile" means the contextual data (industry, regions, software inventory) you provide to personalise intelligence outputs.
"Tokens" means the unit of AI model consumption used to measure and limit usage of Athena within the Services.
3. Account Registration
To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@deltabridge.io if you suspect unauthorised access.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for unlawful purposes.
4. Service Tiers & Subscriptions
4.1 Community Tier
The Community Tier is provided free of charge, by request, for personal and non-commercial use only. It includes read-only access to the Intel Library, Briefs, and Feed. It does not include Athena threads, schedules, Threat Radar, report generation, or custom feeds. We reserve the right to approve, deny, or revoke Community access at our discretion.
4.2 Business Tier
The Business Tier is a paid subscription at the rate published on our pricing page (currently $600/month, subject to change with 30 days' notice). It includes the features and usage limits specified on the pricing page at the time of subscription. Usage limits (including token allocations, schedule counts, and report quotas) reset monthly on the billing date.
4.3 Enterprise Tier
Enterprise subscriptions are governed by individually negotiated agreements. In the event of conflict between these Terms and an Enterprise agreement, the Enterprise agreement prevails.
4.4 Free Trial
We may offer a free trial period for the Business Tier. At the end of the trial, your account will be downgraded to the Community Tier unless you subscribe. Data created during the trial may be deleted 30 days after trial expiration if you do not subscribe.
5. Billing & Payment
Business Tier subscriptions are billed monthly or annually in advance via Stripe. All fees are quoted in US Dollars (USD) unless otherwise agreed. Payments are non-refundable except as required by applicable law or as specified in Section 5.2.
5.1 Price Changes
We may change our pricing with at least 30 days' written notice. Price changes take effect at the start of the next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
5.2 Refunds
If you cancel within the first 14 days of a new annual subscription, you are entitled to a full refund. Monthly subscriptions are non-refundable but you may cancel at any time to prevent future charges. No refunds are provided for partial months.
5.3 Overdue Payments
If payment fails, we will notify you and provide a 7-day grace period. If payment is not received within the grace period, we may suspend access to the Services. Access will be restored upon payment of all outstanding amounts.
5.4 Token Top-Ups
Additional Athena tokens may be purchased as one-time top-up packs. Top-up tokens expire at the end of the current billing cycle and do not roll over. Refunds are not available for purchased token packs.
6. Usage Limits
6.1 Token Allocation
Each subscription tier includes a monthly Athena token allocation. Tokens are consumed when you interact with Athena, run scheduled queries, or generate reports and assessments. When your allocation is exhausted, Athena access will be paused until your next billing cycle or until you purchase a token top-up pack.
6.2 Fair Use
The Services are intended for legitimate cyber threat intelligence purposes. We reserve the right to throttle or suspend access if usage patterns indicate automated abuse, excessive API consumption beyond published rate limits, or use inconsistent with the intended purpose of the Services.
7. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms. You must not:
(a) Use the Services to conduct or facilitate any illegal activity, including but not limited to hacking, fraud, harassment, or distribution of malware.
(b) Attempt to gain unauthorised access to any part of the Services, other users' accounts, or our infrastructure.
(c) Use automated tools to scrape, crawl, or extract data from the Services beyond what is permitted by your API rate limits.
(d) Redistribute, resell, or sublicence access to the Services without our written consent (except as part of legitimate MSSP services under an Enterprise agreement).
(e) Use the Services to develop a competing product or service.
(f) Upload malicious content, including malware, phishing content, or content designed to exploit vulnerabilities in the Services.
(g) Misrepresent your identity or organisational affiliation.
(h) Use Community Tier access for commercial purposes.
8. Intellectual Property
8.1 Our IP
Deltabridge retains all intellectual property rights in the Services, including the Deltabridge platform, the Intel Graph, the Athena agent architecture, the tool specification, the brief generation pipeline, and all associated software, algorithms, designs, and documentation. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Services as described herein.
8.2 Your Data
You retain all rights to data you upload or input into the Services, including Organisation Profile data, custom feeds, and investigation notes. We do not claim ownership of your data. We use your data only to provide the Services as described in our Privacy Policy.
8.3 AI-Generated Content
Intelligence outputs generated by the Services (briefs, assessments, reports, Athena responses, detection rules) are generated using AI models and our proprietary data. You are granted a non-exclusive, non-transferable licence to use, copy, and distribute these outputs for your internal business purposes and for delivery to your clients (in the case of MSSPs). You may not represent AI-generated outputs as human-authored research without disclosure.
8.4 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant us an unrestricted, irrevocable, perpetual licence to use that feedback to improve the Services without obligation to you.
9. AI Disclaimer
The Services use artificial intelligence to generate threat intelligence outputs. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You acknowledge that:
(a) AI-generated outputs are not a substitute for professional human analysis and should be reviewed by qualified personnel before action is taken.
(b) Intelligence assessments, including confidence ratings and predictive analysis, are probabilistic and not guarantees.
(c) The Services are provided as a decision-support tool. Deltabridge is not liable for decisions made based on AI-generated outputs.
(d) The Intel Graph and feed sources may contain incomplete or delayed information. We do not guarantee the timeliness, completeness, or accuracy of any intelligence data.
10. Service Availability
We aim to maintain 99.5% uptime for the Business Tier. However, the Services are provided on an "as available" basis. We do not guarantee uninterrupted access. Planned maintenance windows will be communicated with at least 24 hours' notice where practicable. Enterprise customers may negotiate custom SLAs.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) Deltabridge's total aggregate liability to you for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.
(b) Deltabridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
(c) Deltabridge shall not be liable for any loss or damage resulting from reliance on AI-generated intelligence outputs, decisions made based on the Services, or failure to detect or prevent any cyber threat or attack.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Deltabridge, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your negligence or wilful misconduct.
13. Termination
13.1 By You
You may cancel your subscription at any time through the platform settings or by contacting support@deltabridge.io. Cancellation takes effect at the end of the current billing period. Your data will be retained for 30 days after account closure, after which it will be permanently deleted.
13.2 By Us
We may suspend or terminate your access to the Services immediately if: (a) you breach these Terms; (b) your payment is overdue beyond the grace period; (c) your use poses a security risk; or (d) we are required to do so by law. We will provide notice where practicable.
13.3 Effect of Termination
Upon termination: (a) your licence to use the Services ceases immediately; (b) you must cease all use of the Services; (c) we will make your data available for export for 30 days (upon request); (d) after 30 days, your data will be permanently deleted. Sections 8, 9, 11, 12, and 15 survive termination.
14. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Services. Continued use of the Services after the effective date of changes constitutes acceptance. If you do not agree to modified Terms, you must stop using the Services and cancel your subscription.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For Enterprise customers with individually negotiated agreements, the governing law and dispute resolution provisions of that agreement shall prevail.
16. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deltabridge regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
Force Majeure: Deltabridge shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labour disputes, government actions, or failures of third-party services.
